1. Acceptance of Terms

By accessing or using the SegFlow AI platform (the "Service"), operated by SegFlow AI LLC, a Texas limited liability company ("Company," "we," "our," or "us"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and SegFlow AI LLC. By creating an account, purchasing a study, or otherwise using the Service, you represent that you have the legal capacity to enter into this agreement and that you accept these Terms on behalf of yourself or the entity you represent.

2. Description of Service

SegFlow AI is a software service that produces a draft cost segregation study from the documents and images you upload. Each study is produced by automated analysis, using large language models, third-party benchmark and market pricing data, and the applicable depreciation rules. Each study is written by an automated author pass and then checked by an automated auditor pass. No SegFlow AI employee reviews a study before it is delivered to you. You, as the tax or accounting professional, review the delivered study, apply your own judgment, and are responsible for the final work product you sign, file or give to your client.

2.1 AI-Generated Outputs

IMPORTANT: All analyses, reports, estimates, and outputs generated by the Service ("AI Outputs") are produced by artificial intelligence and are provided for informational and estimation purposes only. AI Outputs do NOT constitute tax advice, legal advice, engineering assessments, or professional cost segregation studies. AI Outputs should not be relied upon as a substitute for a certified cost segregation study conducted by a qualified professional.

2.2 What one study includes

One purchase covers one study of one property, and includes:

  • one first run, delivered as a PDF report, a Word report and an Excel ledger (together, the "deliverables"), together with the review notes and the on-screen study record; and
  • one free revision ("Revision 2"), produced after delivery when you submit feedback — additional documents or images, comments on the review notes, or a general note. There is no deadline for submitting that feedback. The revision re-runs the author and review passes with the added information and tells you what changed, line by line.

Further runs are not included and may be offered as a new study. Turnaround is typically under one hour per run, but it is not guaranteed and nothing in these Terms commits us to a delivery time.

2.3 Upload limits and retention

Each study accepts up to 100 files, at most 5 MB per file and 150 MB in total, in the formats the uploader accepts. Photographs are re-encoded when they are uploaded so that they are stored at a smaller size.

Uploaded files, and the copies derived from them, are deleted automatically 12 months after upload. We do not send a reminder before deletion. The deliverables, the study record, the ledger data and the review notes are retained as described in the Privacy Policy. You are responsible for downloading and keeping your own copies of anything you need, including anything you must keep to support a filed return.

3. Account Registration and Eligibility

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including activity by anyone you allow to use it. Accounts are for one person; do not share credentials.

The Service is intended for use by licensed accountants, certified public accountants (CPAs), tax professionals and their authorized representatives, or by an owner using it for its own business. By using the Service, you represent that you possess the professional qualifications and judgment necessary to evaluate AI Outputs in the context of your practice.

4. Fees and Payment

The Service is sold per study. There is nothing recurring to cancel: you pay once, for one study, at the price shown on our pricing page and again at checkout when you submit the study to run. The price displayed at checkout controls. Prices vary by property use and may change at any time; a change applies only to studies submitted after it takes effect.

  • Card on file. You may save a payment method so later studies can be paid without re-entering it. You authorize us to charge the saved payment method for studies you submit.
  • Volume pricing. A lower price applies automatically from the sixth paid study on an account onward. No action is needed to claim it.
  • Discount codes. A code reduces the price of one study by a stated percentage; some codes reduce it to nothing. Codes are single use, non-transferable, have no cash value, may be limited to a property use or to the email address they were issued to, may carry an expiry date, and may be withdrawn if they are misused.
  • Failed payments. If payment does not go through, the study does not run. Nothing is delivered until payment succeeds or a valid code is applied.

Refunds are handled under our Refund Policy.

5. Permitted Use

You may use the Service solely for lawful business purposes related to cost segregation analysis. You agree not to:

  • Use the Service in violation of any applicable law or regulation
  • Reverse engineer, decompile, or disassemble any part of the Service, or attempt to extract the models, prompts or pricing data behind it
  • Attempt to gain unauthorized access to the Service or its systems
  • Use automated tools (bots, scrapers) to access the Service without written permission
  • Redistribute, sublicense, or resell the Service or AI Outputs without authorization
  • Upload malicious code, viruses, or harmful content to the Service
  • Misrepresent AI Outputs as certified cost segregation studies to clients or third parties without appropriate professional review and disclosure

You must have the right to upload every file you submit, and you must not upload personal information beyond what a study needs. Do not upload government identification numbers, bank account or card numbers, or similar sensitive identifiers: a cost segregation study does not need them.

6. Intellectual Property

All rights, title, and interest in the Service, including its software, templates, methods, models, algorithms, designs, trademarks, and documentation, are owned by SegFlow AI LLC or its licensors. Nothing in these Terms grants you ownership of any intellectual property.

You retain ownership of the files you upload and of the study delivered to you. By uploading data, you grant us a limited, non-exclusive license to process it solely to provide the Service. We will not use it for any other purpose without your consent.

You may edit the deliverables and give them to your clients as part of your own work. You may not present them as prepared or certified by SegFlow AI LLC, or as the work of a licensed engineer, because they are neither.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that property data, financial information, and other data you provide may be processed by third-party service providers to deliver functionality. We implement commercially reasonable security measures to protect your data.

Upload limits, the automatic deletion of uploaded files 12 months after upload, and what we keep after that are described in Section 2.3 above and in the Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. SegFlow AI LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR TAX OR FINANCIAL PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEGFLOW AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR RELIANCE ON AI OUTPUTS, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SEGFLOW AI LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless SegFlow AI LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your reliance on AI Outputs without appropriate professional review; or (d) any claim by a third party related to your use of the Service or AI Outputs in your professional practice.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may close your account at any time by writing to admin@segflowai.com. Because studies are bought one at a time, closing an account cancels nothing and stops no future charge.

On a request to close your account we delete the uploaded files within 30 days of the request, and the remaining study data on the timetable set out in the Privacy Policy. Download anything you want to keep, including the deliverables, before you ask us to close the account. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) survive.

12. Governing Law and Dispute Resolution

SegFlow AI LLC is a Texas limited liability company. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts. To the extent the parties agree in writing to arbitrate any dispute, such arbitration shall be conducted in Travis County, Texas under the Commercial Arbitration Rules of the American Arbitration Association. Each party shall bear its own costs and attorneys' fees.

13. Modifications

We reserve the right to modify these Terms at any time. We will post the revised Terms on this page with a new effective date, and we will notify you of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SegFlow AI LLC regarding the Service and supersede all prior agreements and understandings.
